IMPORTANT: Please read this Disclaimer carefully before using the services, website or any certificates issued by Veritas Absoluta™. By engaging our services, accessing this website or relying upon any certificate, mark or report issued by Veritas Absoluta™, you acknowledge that you have read, understood and agreed to be bound by the provisions set out herein. If you do not agree, you must not use our services.

1. Definitions

In this Legal Disclaimer and Liability Notice, the following terms shall have the meanings ascribed to them below:

"Veritas Absoluta™", "we", "us", "our" means Veritas Absoluta™, an independent certification and verification body with its principal place of business at 128 City Road, London, EC1V 2NX, United Kingdom.
"Certification Services" means all conformity assessment, audit, inspection, certification, verification, and related services provided by Veritas Absoluta™.
"Certificate" means any certificate, seal, mark, report, VeritasSeal™ code, or attestation issued by Veritas Absoluta™, whether in physical or digital form.
"Client" means any individual, organisation, company, partnership or entity that engages Veritas Absoluta™ for Certification Services or whose representatives receive certificates issued by Veritas Absoluta™.
"Third Party" means any person or entity that is not a party to an agreement with Veritas Absoluta™ but who relies upon, or purports to rely upon, a Certificate or any information published by Veritas Absoluta™.
"Standard" means any international, national, industry-specific, bespoke or proprietary standard against which a Certificate is issued, including but not limited to ISO management system standards.
"Audit" means the systematic and documented process of obtaining and evaluating evidence to determine the extent to which criteria are fulfilled, as conducted by Veritas Absoluta™ or its appointed auditors.
"Platform" means the Veritas Absoluta™ website, client portal, Global Verification Registry™, TrustChain™ ledger and associated digital services accessible at veritasabsoluta.org.
"Loss" means any loss, damage, cost, expense, liability, claim, action, proceeding, penalty, fine, judgment, demand or obligation of any nature whatsoever, whether direct, indirect, consequential, special or punitive.

2. Status of Veritas Absoluta™

Veritas Absoluta™ is an independent certification body. We operate as a private conformity assessment organisation providing certification, verification, audit and digital trust services to clients worldwide.

Veritas Absoluta™ has established its own internal procedures, criteria and audit protocols consistent with internationally recognised conformity assessment principles, including those set out in ISO/IEC 17021-1, ISO/IEC 17024, and ISO/IEC 17065 as reference frameworks. However, compliance with the principles of these standards does not constitute formal accreditation by any national or international accreditation body.

Veritas Absoluta™ takes full responsibility for the integrity of its audit processes and the technical competence of its appointed auditors. We are committed to the principles of impartiality, independence and technical rigour in all assessments conducted.

3. Accreditation Status — Important Notice

⚠ ACCREDITATION NOTICE

Veritas Absoluta™ is NOT accredited by the United Kingdom Accreditation Service (UKAS), the International Accreditation Forum (IAF), the International Laboratory Accreditation Cooperation (ILAC), or any other national or international accreditation body. Veritas Absoluta™ does not claim, assert or imply accreditation by any of these bodies. Any representation to the contrary is unauthorised and incorrect.

Certificates issued by Veritas Absoluta™ are not equivalent to certificates issued by UKAS-accredited certification bodies for the purposes of any regulatory requirement, government procurement condition, or contractual provision that specifies UKAS-accredited or IAF MLA-signatory certification as a mandatory requirement.

Prospective clients are advised to review the requirements of any contract, regulatory framework, public procurement tender or industry sector standard before engaging Veritas Absoluta™ to determine whether independently issued certification will satisfy those requirements.

Notwithstanding the foregoing, Veritas Absoluta™ operates with the highest standards of professional competence and technical rigour, and its certificates carry significant evidential weight as to the conformity status of the certified entity at the time of audit.

4. Nature and Scope of Certification

4.1 Point-in-time assessment. A Certificate issued by Veritas Absoluta™ constitutes an attestation that the certified entity, organisation, individual, product or system demonstrated conformity with the stated standard or scheme requirements as at the time of the audit upon which the Certificate is based. A Certificate does not constitute a guarantee, warranty or assurance of ongoing or future compliance, performance, quality, safety, fitness for purpose, or fulfilment of any contractual or legal obligation.

4.2 Snapshot evidence. Certification reflects the status of the certified entity at a specific point in time. Circumstances, processes, products, personnel and systems change. Veritas Absoluta™ accepts no responsibility for any change in the certified entity's status, practices or compliance that occurs after the date of the relevant audit, whether or not such changes are notified to Veritas Absoluta™.

4.3 Scope limitations. A Certificate is issued solely in respect of the scope explicitly stated on the face of the Certificate. No inference shall be drawn that any activity, site, product, process or service falling outside the stated scope is covered by or benefits from the Certificate.

4.4 Audit limitations. Audit activities are conducted by sampling and are inherently limited in scope. An audit cannot guarantee the detection of every nonconformity, deficiency, defect, breach, risk or failure. The absence of audit findings does not constitute a representation that no nonconformities exist beyond those identified.

4.5 Legal and regulatory compliance. Certification against any Standard does not constitute legal advice, does not guarantee legal or regulatory compliance, and shall not be construed as a substitute for independent legal, regulatory or professional advice. It is the responsibility of the Client to ensure compliance with all applicable laws, regulations and statutory requirements.

5. Limitation of Liability

5.1 Exclusion of consequential loss. To the fullest extent permitted by applicable law (including the Unfair Contract Terms Act 1977 and the Consumer Rights Act 2015, as applicable), Veritas Absoluta™ hereby excludes all liability to any Client or Third Party for any indirect, consequential, special, incidental or punitive Loss arising out of or in connection with the Certification Services, any Certificate, the Platform or any reliance thereon, including but not limited to:

  • loss of profit, revenue, business, contracts, anticipated savings or goodwill;
  • loss of or corruption to data or information;
  • business interruption or wasted management time;
  • reputational damage or loss of opportunity;
  • penalties, fines or sanctions imposed by any regulatory or governmental authority;
  • claims made by third parties against the Client arising from their reliance on a Certificate;
  • any loss arising from the Client's failure to maintain conformity after the date of audit.

5.2 Cap on liability. Where liability cannot lawfully be excluded, the aggregate liability of Veritas Absoluta™ to a Client in respect of any and all claims arising under or in connection with Certification Services shall not exceed the total fees paid by that Client to Veritas Absoluta™ in respect of the specific certification activity giving rise to the claim, in the twelve (12) months immediately preceding the event giving rise to the claim.

5.3 Third-party reliance. Veritas Absoluta™ accepts no liability whatsoever to any Third Party who relies upon a Certificate, seal, mark, or verification record. Third Parties who rely on such information do so entirely at their own risk. Veritas Absoluta™ owes no duty of care to Third Parties in relation to the Certification Services or any Certificate issued thereunder.

5.4 Force majeure. Veritas Absoluta™ shall not be liable for any failure or delay in performing its obligations to the extent that such failure or delay results from circumstances beyond its reasonable control, including acts of God, epidemic, pandemic, governmental action, industrial dispute, failure of utilities, cyber-attack or failure of third-party infrastructure.

6. Disclaimer of Warranties

6.1 To the fullest extent permitted by law, the Certification Services, all Certificates and the Platform are provided on an "as is" and "as available" basis without any warranty of any kind, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, accuracy, completeness or non-infringement.

6.2 Veritas Absoluta™ does not warrant that: (a) Certificates will satisfy any contractual requirement imposed by any third party upon the Client; (b) the Platform will be uninterrupted, error-free or free from viruses or harmful components; (c) any defect in the Platform will be corrected; or (d) the results obtained from the use of the Certification Services will be accurate, reliable or meet the Client's expectations.

6.3 Nothing in this Disclaimer shall exclude or limit liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot lawfully be excluded or limited under the laws of England and Wales.

7. Reliance on Certificates by Clients

7.1 A Client who receives a Certificate from Veritas Absoluta™ acknowledges and agrees that the Certificate evidences the Client's status of conformity as determined at the time of audit only. The Client shall not represent to any third party that the Certificate guarantees ongoing compliance, legal conformity or regulatory approval unless expressly permitted under applicable law.

7.2 It is the sole responsibility of the Client to: (a) maintain conformity with the relevant Standard throughout the period of certification; (b) promptly notify Veritas Absoluta™ of any material change to its processes, products, services, personnel or systems that may affect certification status; (c) cease use of any Certificate, mark or seal if the Certificate is suspended, withdrawn or otherwise invalidated; and (d) comply with Veritas Absoluta™'s terms and conditions governing the use and display of Certificates.

7.3 Veritas Absoluta™ reserves the right to suspend, withdraw or revoke a Certificate at any time where it has reasonable grounds to believe that the Client no longer meets the certification requirements or has acted in breach of Veritas Absoluta™'s certification rules. No liability shall attach to Veritas Absoluta™ for any Loss suffered by a Client as a result of such suspension, withdrawal or revocation where the action is taken in good faith.

8. Indemnification

Client and Third-Party Indemnity Obligation: The following indemnification provisions are a material condition of engaging or relying upon the services of Veritas Absoluta™. By proceeding with any engagement or reliance, you unconditionally accept these obligations.

8.1 Client indemnity. Each Client shall, to the fullest extent permitted by applicable law, indemnify, defend and hold harmless Veritas Absoluta™ and each of its directors, officers, employees, agents, auditors, contractors and representatives (together the "Indemnified Parties") from and against any and all Loss arising out of or in connection with:

  • any misuse, misrepresentation or misapplication of any Certificate, VeritasSeal™, mark or verification record issued to or in respect of the Client;
  • any claim by a third party arising from the Client's reliance upon or use of any Certificate;
  • any inaccuracy, omission or misrepresentation in information provided by the Client to Veritas Absoluta™ in connection with the certification process;
  • any failure by the Client to notify Veritas Absoluta™ of material changes to its systems, processes, products or services affecting certification status;
  • any continued use of a Certificate, mark or seal after its suspension, withdrawal, expiry or revocation;
  • any breach by the Client of this Disclaimer, Veritas Absoluta™'s terms and conditions, or any applicable law or regulation;
  • any claim that the Client's products, services or operations caused harm to any person or property, notwithstanding the existence of any Certificate.

8.2 Third-party indemnity. Any Third Party who accesses the Platform, relies upon a Certificate, or otherwise interacts with Veritas Absoluta™'s services shall, by so doing, be deemed to have irrevocably agreed to indemnify, defend and hold harmless the Indemnified Parties from and against any and all Loss arising from or in connection with such access, reliance or interaction, including any Loss arising from incorrect, excessive or inappropriate reliance upon any Certificate or verification record.

8.3 Scope of indemnity. The indemnities in this Clause 8 shall include all reasonable legal costs and disbursements incurred by the Indemnified Parties in connection with any claim, demand, action or proceeding to which the indemnity applies, whether or not such claim is ultimately successful. The Indemnified Parties shall be entitled to conduct the defence of any such claim at their discretion without prejudice to the Client's indemnity obligation.

8.4 Mitigation. Nothing in this Clause shall relieve the Indemnified Parties of any duty to take reasonable steps to mitigate their Loss.

9. Third-Party Reliance on Certificates

9.1 Certificates issued by Veritas Absoluta™ are intended solely as evidence of the certified entity's conformity status at the time of audit. They are not intended as investment advice, procurement guarantees, safety assurances or representations of regulatory compliance.

9.2 Any Third Party who relies upon a Certificate in making procurement, contractual, investment, regulatory or other decisions does so entirely at their own risk. Veritas Absoluta™ shall not be liable to any Third Party for any Loss arising from such reliance.

9.3 Third Parties are encouraged to verify the current status of any Certificate using the Global Verification Registry™ at veritasabsoluta.org/verify or by email to verification@veritasabsoluta.org before placing reliance thereon. A Certificate that was valid at the time of issue may have since been suspended, withdrawn, or allowed to expire.

9.4 Veritas Absoluta™ makes no representation that a Certificate will satisfy the requirements of any specific tender, regulatory framework, insurance policy condition, lending covenant, customer contract or industry scheme. Third Parties should obtain independent legal or professional advice as to whether certification by an independent body satisfies their specific requirements.

10. TrustChain™, Blockchain Technology and Digital Services

10.1 The TrustChain™ system, Blockchain Verification Ledger™ (BVL™), Certification Confidence Index™ (CCI™), Veritas Passport™, Global Verification Registry™ (GVR™) and all associated digital services are provided as supplementary verification and record-keeping tools. They do not alter, extend or enhance the scope, nature or legal effect of any Certificate.

10.2 Whilst Veritas Absoluta™ takes all reasonable steps to ensure the integrity, availability and accuracy of its digital systems, no warranty is given that such systems will be continuously available, error-free or immune to technical failure, cyber-attack or data corruption. Veritas Absoluta™ shall not be liable for any Loss arising from the unavailability, inaccuracy or failure of any digital service.

10.3 SHA-256 hash integrity verification and TrustChain™ anchoring are provided as technical assurance mechanisms. These technologies do not alter the legal status of a Certificate and are not themselves regulated products or financial instruments. Veritas Absoluta™ makes no representation that these technologies will be admissible as evidence in any legal proceedings in any jurisdiction.

10.4 The CCI™ score is a proprietary algorithm-based indicator and does not constitute financial, legal or professional advice. It is provided for informational purposes only. Veritas Absoluta™ accepts no liability for any decision made in reliance upon a CCI™ score.

11. Governing Law and Jurisdiction

11.1 This Disclaimer and any dispute or claim arising out of or in connection with it, or its subject matter or formation (including non-contractual disputes or claims), shall be governed by and construed in accordance with the law of England and Wales.

11.2 The parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim that arises out of or in connection with this Disclaimer or its subject matter or formation.

11.3 Notwithstanding Clause 11.2, Veritas Absoluta™ reserves the right to bring proceedings against any Client or Third Party in any court of competent jurisdiction where necessary to enforce any indemnity, payment obligation or intellectual property right.

11.4 If a Client is a consumer resident in another jurisdiction within the United Kingdom or the European Union, such Client may have additional statutory rights that cannot be overridden by contract. Nothing in this Disclaimer is intended to exclude, restrict or modify those rights.

12. Severability and Entire Agreement

12.1 If any provision of this Disclaimer is held by a court of competent jurisdiction to be invalid, unlawful or unenforceable to any extent, such provision shall, to that extent, be severed from the remaining provisions, which shall continue to be valid and enforceable to the fullest extent permitted by law. The invalid or unenforceable provision shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable.

12.2 This Disclaimer, together with Veritas Absoluta™'s Terms and Conditions of Service, Privacy Policy and any specific certification agreement entered into with a Client, constitutes the entire agreement between the parties relating to liability and disclaimer and supersedes all prior representations, negotiations, agreements and understandings.

12.3 A failure by Veritas Absoluta™ to exercise or enforce any right under this Disclaimer shall not constitute a waiver of that right. No waiver of any breach of this Disclaimer shall be deemed a waiver of any subsequent breach.

13. Amendments to this Notice

13.1 Veritas Absoluta™ reserves the right to amend, update or replace this Disclaimer at any time. The current version shall be published on the Platform and the effective date updated accordingly.

13.2 Continued use of the Platform or Certification Services following publication of any revised Disclaimer constitutes acceptance of those revisions.

13.3 Material changes to this Disclaimer will be communicated to active Clients by email to the address held on record. It is the Client's responsibility to ensure that their contact details are kept up to date with Veritas Absoluta™.
